1.0 AGREEMENT TO TERMS These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Nexedge Solutions (“we,” “us,” or “our”), concerning your access to and use of our website and services.

2.0 INTELLECTUAL PROPERTY RIGHTS

• 1.1 Agency Property: Unless otherwise indicated, the website, including source code, databases, functionality, software, and website designs are our proprietary property.

• 1.2 Client Property: Upon full and final payment, the client shall own the specific deliverables (Shopify/WordPress sites, edited videos) created for them, subject to a perpetual, non-exclusive license for Nexedge Solutions to feature the work in our portfolio.

3.0 USER REPRESENTATIONS By using our services, you represent and warrant that:

• 1.1 You have the legal capacity to comply with these Terms.

• 1.2 You will not use the Service for any illegal or unauthorized purpose.

• 1.3 Your use of the Service will not violate any applicable law or regulation of your respective jurisdiction.

4.0 SERVICE LIMITATIONS AND LIABILITY

• 1.1 Third-Party Platforms: We act as service providers for Amazon, Walmart, and TikTok Shop. We are not responsible for account suspensions, “buy box” losses, or policy changes initiated by these platforms.

• 1.2 Limitation of Liability: In no event will Nexedge Solutions be liable to you or any third party for any lost profits or consequential damages arising from your use of our services.

5.0 DISPUTE RESOLUTION Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the courts of Multan, Pakistan, and you hereby consent to, and waive all defenses of lack of personal jurisdiction with respect to venue and jurisdiction in such courts.
